1. Scope

These Terms of Use ("Terms") govern the use of the software "Kobel", provided by:

By installing or using the software, the user accepts these Terms. Any conflicting or deviating terms of the user shall not be recognised unless the provider has expressly agreed to their application.

2. Subject Matter

Kobel is a desktop application that acts as a file-access gateway between the user's local files and AI applications. The software enables precise control over AI application file access through a five-level permission system (blocked · read only · as a copy · edit directly · edit with backup). It also offers the integrated app proxy for external MCP-compatible third-party applications, optional cloud connections (Google Drive, Dropbox) via OAuth 2.0, an optional encrypted tunnel via Cloudflare to connect ChatGPT (Windows version only), and optional central configuration by an IT administrator via a policy file (team policy). The availability of individual features may depend on the source from which the software was obtained (Microsoft Store, Mac App Store) and applicable platform rules (e.g. Apple sandbox).

The software is provided as-is. The provider does not guarantee that all features will be available error-free and in full at all times.

3. Licence

3.1 Scope of Licence

The provider grants the user a non-exclusive, non-transferable, revocable licence to use the software for private and commercial purposes.

3.2 Use

The licence permits simultaneous activation on one (1) device (Basic and Pro versions). Team licences include the number of user seats contained in the respective team tier.

Device transfer (floating licence): When the licence key is entered on a new device, the activation on the previous device is automatically terminated after a seven (7) day grace period. During the grace period, Pro features remain available on the old device; thereafter, they are deactivated. Re-entering the licence key on the original device during the grace period reverses the transfer.

Team licences: The admin role may be freely distributed within the organisation; the software does not limit the number of admins. An additional licence is required for use on further computers outside a team licence.

3.3 Restrictions

The user may not:

4. Versions and Pricing

4.1 Basic Version (free)

The Basic version is free of charge and available for unlimited time. It is subject to the following usage limits: 1 AI connection · 2 folders · 50 files · 500 MB storage.

One-time trial period: Downloads within the first year after initial publication receive a single free 30-day trial with full Pro functionality. This offer is not renewable. The provider may discontinue it at any time.

4.2 Pro Version

The Pro version offers the full feature set in two variants:

Automatic renewal notice: The subscription renews automatically for the booked period unless cancelled before the end of the current term. Cancellation is possible at any time via the Paddle customer portal (paddle.net/subscriptions) or by e-mail to hello@kobel.app. The current price is shown during the purchase process.

4.3 Team Licences

The Team version is intended for organisations and enables use by multiple users within an organisation. Team licences are available as monthly subscriptions and include a defined number of user seats. The licensed administrator manages seat allocation within the application. Unused seats expire and cannot be transferred to third parties. Cancellation of the team subscription terminates access for all assigned seats at the end of the paid period. 5. Purchase Processing and Payment

5.1 Merchant of Record

Purchase processing is handled by Paddle (Paddle.com Market Ltd., Merchant of Record). Paddle acts as seller towards the customer and is responsible for payment processing, tax calculation and remittance, invoicing, and refunds. Paddle's terms are available at paddle.com/legal/buyer-terms.

5.2 Payment Terms

The purchase price is due at the time of order. Accepted payment methods are shown in the payment provider's checkout.

6. Right of Withdrawal

Consumers are entitled to the statutory right of withdrawal set out in the separate Withdrawal Policy, which also contains the statutory model withdrawal form.

The right of withdrawal expires early for digital content (software download) if the provider has begun performance of the contract after the user has expressly consented to performance beginning before the expiry of the withdrawal period and has confirmed awareness that this results in loss of the right of withdrawal.

7. Updates and Availability

7.1 Updates

To the extent required by applicable law for contracts for digital products with consumers, the provider will make updates necessary to maintain conformity, including security updates, available for the period prescribed by law. The user will be informed of available updates. If the user fails to install a notified update, the provider shall not be liable for defects resulting solely from the absence of that update, as permitted by applicable law. Further functional enhancements are provided voluntarily; no claim exists thereto. Applicable statutory provisions regarding update obligations do not apply in relation to merchants or businesses.

7.2 Discontinuation of the Software

The provider reserves the right to withdraw the software from the market or discontinue its further development at any time. Already acquired one-time purchase licences are unaffected — the last installed version may continue to be used. Subscriptions end at the end of the already paid period.

8. Liability

8.1 Unlimited Liability

The provider is liable without limitation for intent and gross negligence, for injury to life, body, or health, under product liability legislation, and to the extent of any expressly assumed guarantee.

8.2 Liability for Slight Negligence (Cardinal Obligations)

In cases of slight negligence, the provider is only liable for breach of a material contractual obligation (cardinal obligation) whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the user may regularly rely. In such cases, liability is limited to the foreseeable, typically occurring damage at the time of conclusion of the contract.

8.3 Further Liability

No liability beyond Sections 8.1 and 8.2 exists. Mandatory statutory liability claims, in particular under product liability law, for fraudulently concealed defects, and for the assumption of a guarantee or procurement risk, remain unaffected.

8.4 Liability Cap

Where liability exists under Section 8.2 and is not unlimited under Section 8.1, it is capped at the foreseeable, typically occurring damage, but in any event not exceeding:

8.5 AI Applications

Kobel exclusively controls file access. The provider assumes no liability — subject to Sections 8.1 and 8.2 — for data processing carried out by connected third-party AI applications.

8.6 Configuration Changes in Third-Party Applications

To set up the MCP connection, Kobel writes to configuration files of selected AI applications (e.g. Claude Desktop, Cursor, GitHub Copilot, Gemini CLI, ChatGPT). The provider assumes no liability — subject to Sections 8.1 and 8.2 — for malfunctions of affected third-party applications resulting from these configurations.

8.6a App Proxy for External MCP Servers

Using the app-proxy feature, Kobel launches external MCP-compatible applications as subprocesses at the user's request and relays their functionality to the connected AI application. The provider assumes no liability — subject to Sections 8.1 and 8.2 — for the functionality, security, or data processing of subprocesses chosen by the user, including any third-party credentials stored therein. The user is responsible for selecting only trustworthy MCP servers and for using credentials with the minimum required scope ("least privilege").

8.6b Optional ChatGPT Tunnel (Windows only)

If the user enables the optional ChatGPT tunnel, Kobel downloads the cloudflared helper from GitHub and establishes an encrypted tunnel via Cloudflare. The provider assumes no liability — subject to Sections 8.1 and 8.2 — for the availability, operation, or data processing of GitHub or Cloudflare. This feature is not available in the Mac App Store version due to Apple sandbox requirements.

8.6c Team Policy (central IT configuration)

Where Kobel is used within an organisation and a policy source has been set, the IT administrator may restrict Kobel's functionality on the workplace device (e.g. by blocking the app proxy, the write function, individual paths, or AI applications). The provider is not liable for the content or consequences of a policy provided by the user's employer or organisation; the legal relationship in that respect is between the user and the organisation.

8.7 Warranty

The provider does not warrant — outside of mandatory statutory warranty rights for consumers — that the software is error-free or will operate without interruption.

8.8 Mandatory Consumer Rights (Australia and other jurisdictions)

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under mandatory law that cannot lawfully be excluded — in particular under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010), the UK Consumer Rights Act 2015, or comparable consumer legislation in your country of residence. Where the Australian Consumer Law applies, our goods and services come with guarantees that cannot be excluded. To the extent the law permits us to limit our liability, our liability for failure to comply with a consumer guarantee in respect of services not ordinarily acquired for personal, domestic, or household use is limited, at our option, to resupplying the services or paying the cost of having them resupplied.

9. Privacy

Kobel processes user data locally on the device. The app connects to the internet only for: monthly licence validation for active Pro one-time, Pro subscription, and Team licences (licence key and a 32-character SHA-256 device hash of the Windows MachineGuid or macOS IOPlatformUUID, used solely for floating-licence binding to a single device), the update check, purchase processing via Paddle, optional cloud connections (Google Drive, Dropbox) that you enable yourself, the optional ChatGPT tunnel via Cloudflare (Windows version, opt-in), the optional team-policy synchronisation set by an IT administrator, and the app-proxy subprocesses configured by the user (which may themselves connect to third parties). 10. Intellectual Property

The software and all copyright, trademark rights, and other intellectual property rights remain the property of the provider. The user is granted only the rights of use described in Section 3. Unauthorised reproduction or distribution of the software constitutes copyright infringement under applicable law.

11. Term and Termination

11.1 Basic Version

Unlimited term, terminable by either party at any time.

11.2 Pro Version (One-Time Purchase)

Unlimited term. The provider may revoke the licence for good cause, in particular in the event of a serious or repeated breach of material obligations under these Terms (especially Section 3.3). Revocation requires prior written notice with a reasonable cure period; notice is not required where it would be dispensable under applicable law, in particular in the case of intentional and persistent infringement of third-party intellectual property rights. Statutory rights of the provider remain unaffected.

11.3 Pro Version (Subscription) and Team

The subscription renews automatically for the chosen period (monthly or annual) unless cancelled before the end of the current billing period. Cancellation may be declared at any time, in particular:

Upon expiry of the paid period, access to Pro or Team features ends; continued use of the Basic version within its applicable limits remains possible.

11.4 Upon Termination

Upon termination of the licence, the user is obliged to uninstall the software.

12. Amendments to These Terms

12.1 Amendments in Relation to Consumers

The provider may amend these Terms with effect for the future in relation to consumers, provided the amendment is reasonable having regard to the interests of both parties. Proposed amendments will be communicated to the user in text form at least six (6) weeks before they take effect and will be prominently displayed within the software; the user will be expressly informed of the right to object, the relevant deadline, and the legal consequences of failing to object.

Consent to the amendments is deemed given if the user does not object in text form within six weeks of receipt of the amendment notice. If the user objects validly and in time, the contract continues under the existing terms; the provider may in that case terminate the contract with one month's notice to the end of the billing period. Amendments to core obligations (in particular price, scope of services, contract term) always require the user's express consent.

12.2 Amendments in Relation to Businesses

In relation to merchants and businesses, the above provisions apply accordingly; the six-week objection period is replaced by a period of four (4) weeks.

12.3 Accessing the Current Version

The current version of these Terms is available at any time within the application and at https://kobel.app/agb.html (German), https://kobel.app/terms.html (English) and https://kobel.app/conditions.html (French). For consumers, the language version in which the contract was concluded with them is authoritative; vis-à-vis businesses, the German version prevails.

13. Miscellaneous

13.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

13.2 Jurisdiction

If the user is a merchant under German commercial law, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Kiel, Germany. The same applies if the user has no general place of jurisdiction in Germany or if the user's domicile or habitual residence is unknown at the time the action is brought. The provider is in all cases also entitled to bring proceedings at the user's general place of jurisdiction. For consumers, the statutory places of jurisdiction apply.

13.3 Consumer Dispute Resolution

The provider is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. Our e-mail address is: hello@kobel.app.

13.4 Severability

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall not be affected.

14. Additional Terms – Mac App Store

The following supplementary terms apply to users who obtain Kobel through the Apple Mac App Store. In the event of a conflict between these supplementary terms and Sections 1–13, these supplementary terms prevail for Mac App Store users.

14.1 Acknowledgement

These Terms are concluded between you and Amoria only, not with Apple Inc. ("Apple"). Amoria, not Apple, is solely responsible for Kobel and its content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Kobel.

14.2 Scope of Licence

The licence granted to you for Kobel is limited to a non-transferable licence to use Kobel on any Apple-branded products you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service (apple.com/legal/internet-services/itunes/dev/stdeula/).

14.3 Maintenance and Support

Amoria is solely responsible for providing any maintenance and support services for Kobel, as required by applicable law or these Terms. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to Kobel.

14.4 Warranty

Apple will have no warranty obligation whatsoever with respect to Kobel. Any applicable warranties — whether implied by statute or otherwise — are Amoria's sole responsibility to the extent not effectively excluded under applicable law. In the event of any failure of Kobel to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for Kobel to you, if any. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Kobel.

14.5 Product Liability

Amoria — not Apple — is responsible for addressing any claims by you or a third party relating to Kobel or your possession and/or use of Kobel, including but not limited to: (i) product liability claims; (ii) any claim that Kobel fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

14.6 Intellectual Property Claims

In the event that any third party claims that Kobel, or your possession and use of Kobel, infringes that third party's intellectual property rights, Apple will not be responsible for the investigation, defence, settlement, or discharge of any such intellectual property infringement claim. Amoria will handle such claims in accordance with these Terms and applicable law.

14.7 Legal Compliance

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

14.8 Third-Party Terms

When using Kobel you must comply with all applicable third-party terms of agreement (for example, your wireless data service agreement when using Kobel over a mobile network).

14.9 Apple as Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right — and will be deemed to have accepted the right — to enforce these Terms against you as a third-party beneficiary thereof.

14.10 Payments and Cancellation (Mac App Store)

All purchases and subscriptions of the Mac App Store version are processed by Apple. Amoria has no access to your payment or billing details. To cancel a subscription obtained via the Mac App Store, go to Settings → Apple ID → Subscriptions on your device and follow Apple's cancellation instructions. Section 11.3 of these Terms applies in addition, with the Mac App Store cancellation path taking precedence for Mac App Store subscriptions.
